Vacancy: Legal Affairs Manager

Position Purpose:

The Legal Affairs Manager’s duties include providing support to the Head of Legal & Company Secretary (the Manager) on all legal matters that impact TCC and JTILS’s business operations; achieving corporate and commercial goals in a way that guarantees adherence to the law, JTI’s Code of Conduct, and other policies and procedures; and managing legal risk appropriately. In order to protect our operational and commercial freedoms, reduce risk, and increase our competitive advantage, it is imperative that we make the most of our awareness of the operating environment. to safeguard and uphold JTILS’s and the TCC’s interests.

What will you do – responsibilities:

  • As a member of the TCC Local Management, collaborate with the Manager to define and implement a comprehensive market strategy that guarantees accountability and clarity for achieving corporate objectives, as well as overall cost-effectiveness.
  • Provide the Manager with guidance on how to oversee the department and outside advisers (such as outside attorneys), arrange the division of labor and assign tasks, evaluate and carry out the budget; prepare and finish departmental initiatives and support the manager in the business planning process of the entire organization; make sure the team meets KPIs and that reports adhere to JTI criteria.
  • To do legal research as necessary and offer legal counsel to the business in a way that enables JTI to meet its goals.
  • Assist TCC and JTILS operations with their legal needs on a daily and strategic basis. Oversee all facets of the company’s daily operations’ adherence to internal policies and legal requirements. You should also complete all necessary statutory filings and updates at the Registrar of Companies.
  • The Local Contract Management Policy and other relevant policies and guidelines will be followed in the preparation, evaluating, filling up, and custody of contracts and other legal documents for TCC and JTILS.
  • Corporate governance and secretarial administration include making ensuring that correct corporate policies and controls are followed, managing the entity’s effective tax and legal funding structure, and proposing and carrying out revisions to the bylaws and articles of association.
  • Corporate Governance: Participate in the legal analysis of JTI projects and manage them to achieve compliance with legislation (especially with competition laws); oversee and audit compliance of JTI activities with JTI policies and procedures/JSOX and binding national laws; lead Corporate Compliance activities in Tanzania
  • to oversee any litigation brought by and against the Business and to assist the People & Culture department with all labor-related matters, both internal and external.
  • to guarantee statutory compliance and routine evaluation of brand-related matters. Specifically, to examine and develop agreements to assist business, as well as to interpret and advise the branding teams on all other branding laws, international marketing principles, and tobacco restrictions.
  • As needed, to work together with stakeholders in the tobacco industry and assist the company in discussions with stakeholders about tobacco regulation, market changes, and general law enforcement. To concur with industry and regulatory organizations
  • To assist with and provide advice about all business licenses, as well as to carry out any additional tasks that the Head of Legal Affairs & Company Secretary may assign

Who are we looking for – requirements:

  • A law degree from an institution and a postgraduate diploma in legal practice, or something similar
  • Five or more years of experience working for FMCG firms or institutions in corporate, commercial, company, and tax legislation
  • An extra benefit is having knowledge of antitrust and competition law.
  • Proficient in both spoken and written Swahili and English
  • Proficient at using Word, Excel, PowerPoint, and other MS Office programs.
  • Strong presentation and project management abilities
  • Proficiency in finance and interpersonal abilities.
